Indonesian Cocoa Board
(DEKAINDO)

MUKADIMAH

In fact, the Indonesian earth is blessed with various types of abundant natural resources, and among them is the cocoa plant. Cocoa is one of the mainstay commodities of plantations, as a foreign exchange earner for the State, a source of income for farmers, a source of employment, a driver of agribusiness and regional development. As a leading export commodity, Indonesian cocoa and its derivative products do not yet have competitiveness in the domestic and international markets. Based on the above conditions and realities and in accordance with the mandate of the Law of the Republic of Indonesia Number 18 of 2004 concerning Plantations ARTICLE 19 and its Explanation, the Indonesian cocoa agribusiness actors need to unite to build synergy and fight together in the development of the Indonesian cocoa commodity in a forum called the Indonesian Cocoa Board.

CHAPTER I

GENERAL PROVISIONS

 ARTICLE 1

GENERAL

 The Bylaws are an integral part of the Articles of Association.

ARTICLE 2

DEFINITIONS

  1. Cocoa is a plant which in plant taxonomy is called Theobroma Cacao.
  2. Cocoa Commodities are cocoa beans and their derivative products.
  3. Cocoa derivative products are processed cocoa which includes cocoa liquor, cocoa cake, cocoa powder and cocoa butter, among others.
  4. Cocoa agribusiness is a cocoa business approach that is systemic in nature starting from the production sub-system, processing sub-system, marketing sub-system and supporting services sub-system.
  5. The cocoa processing industry is the handling, processing, and processing of cocoa crops aimed at achieving higher added value.
  6. Stakeholders are cocoa-related business actors ranging from farmers, intermediary traders, exporters, manufacturers, including government agencies and other institutions engaged in the cocoa sector.
  7. Government is the central government
  8. Associations are ASKINDO, APIKCI, APKAI, AIKI and other associations related to cocoa.
  9. Indonesian Coffee and Cocoa Research Center is an institution that carries out research and development in the field of coffee and cocoa nationally.
  10. DEKAINDO is a forum for associations or institutions that specialize in cocoa.

CHAPTER II

PRINCIPAL DUTIES

ARTICLE 3

MAIN DUTIES

The main task of DEKAINDO is to strive for the achievement of the Vision, Mission and Objectives as mandated in the Articles of Association Chapter III and Chapter IV.

 

CHAPTER III

MEMBERSHIP 

ARTICLE 4

MEMBER REQUIREMENTS

The requirements to become a Non-Permanent Member of DEKAINDO are as follows:

  1. Submit a written application to DEKAINDO.
  2. Attach the Articles of Association and Bylaws or other documents owned as an institution from the authorized agency.
  3. Obtain the approval of the Assembly of Permanent Members

ARTICLE 5

RIGHTS

Every Member has the right:

  1. Vote, be elected, and speak
  2. Receive a membership card
  3. Participate in any activity organized by DEKAINDO in accordance with Chapter X ARTICLE 22.

ARTICLE 6

DUTIES

Every member has the following obligations:

  1. Maintain the good name of DEKAINDO and comply with the Articles of Association/Bylaws and other provisions;
  2. Inform and coordinate with DEKAINDO on activities or policies related to Indonesian cocoa;
  3. Accept and implement the decisions of DEKAINDO responsibly;
  4. Pay the agreed membership fees and dues.

ARTICLE 7

MEMBERS’ DUES

 The amount of Member dues is determined through a decision of the Assembly of Permanent Members.

ARTICLE 8

SANCTIONS

  1. Sanctions can be given to Dekaindo Members in the event of actions that deviate from the DEKAINDO Articles of Association/Bylaws.
  2. Sanctions consist of:
  • Verbal warning
  • Written warning
  • Dismissal

ARTICLE 9

DISMISSAL OF MEMBERS

 Membership of DEKAINDO may be terminated, if:

  1. Resigns in writing on the grounds that the association/agency has dissolved itself or has been dissolved by the competent authority.
  2. Dismissed for having violated the provisions of the Articles of Association / Bylaws and or having harmed the good name of DEKAINDO with the approval of the Assembly of Permanent Members.
  3. The dismissal of one of the Permanent Members does not cause the dissolution of DEKAINDO.

 

CHAPTER IV

CLOSURE

ARTICLE 10

  1. For the first time DEKAINDO shall elect
  • Chairman: Prof.Dr.Djoko Said Damardjati
  • Vice Chairman: Dr. Ir. Teguh Wahyudi, M.Eng.
  • Secretary General: H. Halim Abdul Razak, SE, MSi
  • Deputy Secretary General: Ir. Zulhefi Sikumbang
  • Executive Secretary: Subiyanti Marwoto, M.Agr.St.

Other matters that have not been regulated in the Bylaws will be regulated later.

ARTICLE 11

These Bylaws shall take effect from the date they are stipulated and signed.
